Terms and conditions

These terms apply between Crimptech and the Customer. The definitions below are followed by a clause on the use of this website, and the remainder governs the supply of Goods. Where a Quotation or an Order Confirmation provides otherwise, that document takes precedence.

Definitions
In these terms, Crimptech means Crimptech, whose registration details appear in the footer of every page. The Customer means the person or company to whom Crimptech addresses a Quotation.
A Quotation is the written statement of scope, quantity, price and schedule that Crimptech issues in response to a drawing or a specification. An Order Confirmation is Crimptech's written acceptance of an order placed against a Quotation. The Contract is the Quotation, the Order Confirmation and these terms taken together, and the Goods are the parts and assemblies supplied under it.

Use of this website
These pages may be read, printed and quoted. The text, the photography and the drawings on them are ours or are used with permission, and reproducing them commercially requires our prior agreement.

Status of published information
The capability figures, materials and processes described on this site are what our manufacturing network does, and they describe the range of work available. They commit Crimptech to nothing in respect of a specific part until that part has been quoted.

Formation of contract
The Customer sends a drawing or a specification. Crimptech responds with a Quotation stating the scope, the quantity, the price and the schedule. The Contract comes into existence when the Customer accepts that Quotation and Crimptech issues an Order Confirmation.
Where the Customer's own purchase conditions differ from these terms, the Quotation and the Order Confirmation govern.

Intellectual property in customer drawings
A drawing supplied by the Customer remains the Customer's property. Crimptech uses it to quote and to manufacture the Customer's parts and for no other purpose, and a part made to the Customer's drawing is not offered to any other party.

Price and payment
The price is that stated in the Quotation, for the quantity quoted. Payment terms are stated in the Quotation and in the Order Confirmation.

Delivery and risk
The delivery terms for an order are stated in its Quotation, and risk passes as those terms describe. How an order reaches the Customer, and who clears it through customs, is set out on our shipping page.

Inspection and non-conformity
The Customer inspects the Goods on receipt. Where the Goods do not match the drawing or the agreed specification, the Customer notifies Crimptech, and our returns policy sets out what happens next and the period within which it must be raised.
Parts that do not meet the specification are replaced or credited.

Warranty
The warranty applying to an order is the one stated in its Quotation or Order Confirmation. Where none is stated, the Customer's statutory rights under Dutch law apply and nothing in these terms reduces them.

Liability
Crimptech is liable for damage caused by its own failure to perform, up to the value of the order concerned. Crimptech is not liable for indirect or consequential loss, which includes loss of profit and the cost of a line standing idle. Nothing here excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence and for intentional misconduct.

Force majeure
Neither party is in breach for a failure to perform caused by an event beyond its reasonable control. The affected party informs the other, and the obligation is suspended for as long as the event continues.
Where the event continues such that performance would no longer serve its purpose, either party may cancel the affected order in writing.

Assignment and subcontracting
The Customer may not assign the Contract without our written agreement.
Crimptech manufactures through its manufacturing network and may subcontract the whole or any part of an order. Crimptech remains responsible to the Customer for performance of the Contract.

Notices
Notices under the Contract are given in writing. A notice to Crimptech is sent to info@crimptech.nl or to the address in the footer of every page, and a notice to the Customer is sent to the address stated in the Quotation or the Order Confirmation. A notice sent by email takes effect when it is sent.

Entire agreement
The Contract is the entire agreement between the parties on its subject matter and replaces anything said or written before it. Nothing in this clause limits liability for fraudulent misrepresentation.

Severability
Where a provision of these terms is found to be unenforceable, the remainder continues in effect and that provision applies to the extent that it can.

Governing law and jurisdiction
Dutch law applies. Disputes go to the competent court in the Netherlands. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Amendments
Crimptech may change these terms for future orders. The terms governing an order are those in effect on the date of its Order Confirmation.
